Most company commercial law is carried out by Steve Walker, who is the head of the department and also the managing director of the firm. Commercial property work is carried out by Kim Chambers who heads our property department. We are happy to visit business clients at their office premises and to provide ongoing advice and assistance either face to face or via the internet or over the telephone.
We offer all new clients a free initial interview at which you can discuss your business problem. We will then agree any fees and charges with you prior to starting work.
All business clients will be entitled to free access to our client area where we post resources and guidance on changes to legislation, such as the Companies Act and Bribery Act 2010.
We advise businesses on a wide range of commercial issues including:-
Incorporating Limited Companies
Many new businesses simply buy a company “off the shelf” and do not tailor that company to their specific requirements. We provide an incorporation service under which we will draft bespoke Articles of Association. The usual cost of a bespoke incorporation is around £250.00 plus VAT.
Drafting Partnership Agreements
Many partnerships do not have formal partnership agreements, which means that their affairs are regulated by the Partnership Act 1890, a piece of legislation which frequently does not suit the working practices of modern partnerships. Although each case depends on the complexity of the issues involved, a basic partnership agreement will cost £500.00 plus VAT.
Drafting Shareholder Agreements and Directors Service Contracts
In our experience, most company disputes could have been avoided if the parties had entered into clear agreements which regulated decision making, responsibilities and remuneration. Such agreements need to “talk” to the Articles of Association of a company and they also need to cover any employment issues which may arise in the case of executive directors.
See employment section.
Business Sales and Purchases
We advise clients on business sales and purchases, including management buy outs, management buy ins, asset sales and share sales.
